Royal Swinkels, one of the largest beer producers in the Netherlands, invested USD 63 million in Georgia. Royal Swinkels purchased 80% stake in the company "Global Beer Georgia" for USD 63 million from Georgia Capital. "Global Beer Georgia" itself is a producer and distributor of beer and non-alcoholic beverages. The company's assets include a brewery and the brands "Kazbegi", "Shavi Lomi", "Kayaki", "ICY".
As for the Royal Swinkels, the company holds the licenses for the production and distribution of international brands "Heineken", Amstel, Krusovice and other brands.
Royal Swinkles itself is the second largest beer producer in the Netherlands after Heineken, with revenues of €1.12 billion in 2023. The company's brands include Bavaria and Swinkels.
"According to the GCAP, following the disposal, the Business will be held through a new holding company domiciled in the Netherlands (the “Dutch Holdco”). GCAP will obtain a 20% holding in the Dutch Holdco (and Royal Swinkels 80%). The parties have put in place a put/call structure relating to the remaining GCAP 20% holding.
GCAP will realise net proceeds from the Transaction amounting to at least US$ 63.0 million. The disposal is subject to customary closing conditions, including the approval of the Georgian Competition and Consumer Agency. Completion of the Transaction and the receipt of full sales proceeds is expected before 31 December 2024", - the statement reads.
According to the financial report of "Global Beer Georgia", the company's total income was 86 million GEL, while the net profit sttod at 4.2 million GEL last year. The assets of the company are 122.7 million GEL, and the liabilities are 113.6 million GEL.
